This Intellectual Property Rights Policy outlines the ownership, use, protection, and enforcement of intellectual property within the context of the Globalgood Ecommerce Platform, recognizing the platform's multivendor structure, donation-based models, and the involvement of local managers and third-party fulfillment providers.
By participating on the Globalgood Ecommerce Platform, whether as a vendor, buyer, or donor, you agree to the terms and conditions outlined in this policy.
1. Ownership of Intellectual Property
- Globalgood Ecommerce and its affiliates retain ownership of all intellectual property related to the Platform, including but not limited to:
- Trademarks: The Globalgood name, logo, and any related marks are trademarks of Globalgood Corporation and are protected by trademark law.
- Copyright: All content on the Platform, including but not limited to product listings, images, text, software, designs, and multimedia elements, is protected by copyright law and is owned or licensed by Globalgood Corporation or its partners.
- Patents and Trade Secrets: Any patents, trade secrets, proprietary processes, or innovations developed by Globalgood Ecommerce or its partners in relation to the Platform are protected under patent and trade secret law.
- Vendor Content: Vendors retain ownership of their intellectual property related to the products they list on the Platform, including trademarks, copyrights, designs, and patents. By listing products on the Platform, vendors grant Globalgood Ecommerce a limited, non-exclusive license to use their IP for marketing, displaying, and selling their products on the platform.
- Donated Goods: For donated goods that are resold on the platform, Globalgood Ecommerce may list items under its own intellectual property rights for branding and marketing purposes, while the donated goods' original owners retain the rights to their intellectual property, provided it complies with the Platform’s standards. Donated items listed for resale must not infringe on third-party IP rights.
2. Use of Intellectual Property by Vendors, Donors, and Platform Managers
The Platform operates with multiple stakeholders, including vendors, donors, local managers, and third-party fulfillment centers. As such, different parties may use intellectual property in different ways.
- Vendors: Vendors are responsible for ensuring that the products they list on the Platform, including product images, descriptions, and branding, do not infringe on the intellectual property rights of third parties. By uploading product listings, vendors grant Globalgood Ecommerce the right to use and display the vendor's IP within the Platform for the purpose of facilitating the sale of the listed products.
- Donors: Donated goods may contain intellectual property, such as brand names or copyrighted designs. When donating items to the Platform, donors affirm that they have the right to donate the goods and that the goods do not infringe on the intellectual property rights of any third party. Globalgood Ecommerce will resell donated items in accordance with the Platform’s mission, while respecting the intellectual property embedded in donated products.
- Local Managers: Neshuns managers (such as Neshuns of Kenya, Neshuns NY, etc.) may be responsible for physical store management or the operation of collection centers. In doing so, they may use Globalgood's IP for marketing purposes or for branding these locations. They are also responsible for ensuring that local product listings and resales are compliant with IP laws and Globalgood's standards.
3. Vendor and Donor Responsibilities
As a vendor or donor, you agree to:
- Respect Third-Party IP: Vendors must ensure that products listed on the Platform do not infringe upon any third-party IP rights, including trademarks, patents, or copyrights. Vendors also agree to indemnify Globalgood Ecommerce in the event of any claims or legal actions arising from the infringement of these rights.
- Accurate Listings: Vendors must provide accurate product descriptions and images that do not infringe on the IP rights of others. This includes ensuring that product images, logos, and brand names are used with proper authorization.
- Permission to Use Content: By listing products or donating items, you grant Globalgood Ecommerce the right to use your intellectual property for the purposes of selling, promoting, and marketing your products or donated items on the platform.
- Donor Warranties: Donors must ensure that donated items do not violate any intellectual property laws. Donated items that infringe on IP rights will not be accepted for resale. Donors affirm that they are donating items in good faith and without legal encumbrances.
4. Infringement of Intellectual Property
If you believe that your intellectual property rights have been infringed upon on the Platform, you can file a complaint by submitting a Digital Millennium Copyright Act (DMCA) notice or a formal complaint. This should include:
- A description of the IP you believe has been infringed, including the IP's registration number (if applicable).
- The location of the infringing content on the Platform (e.g., the specific product listing or page).
- Your contact information, including your name, email address, and physical address.
- A statement that you are the IP owner or authorized to act on behalf of the IP owner.
Once we receive the complaint, Globalgood Ecommerce will promptly investigate the issue and take appropriate action, including removing or disabling access to the alleged infringing content.
5. Reporting IP Violations by Vendors and Donors
If a third party alleges that you have violated their intellectual property rights, you may be required to:
- Provide evidence of ownership or proper licensing for the products listed on the Platform.
- Immediately remove any infringing content and cease the sale of infringing products.
- Respond to notices in a timely and cooperative manner. Failure to do so may result in suspension or termination of your vendor account.
6. Third-Party Trademarks and Copyrighted Content
The Globalgood Ecommerce Platform may display third-party intellectual property (e.g., trademarks, logos, or copyrighted content) as part of product listings, vendor pages, or other content on the site. Globalgood Ecommerce does not own these third-party IPs and is not responsible for their use. You agree not to infringe on these third-party rights and to respect their ownership.
7. Licensing and Use of Intellectual Property by Globalgood Ecommerce
By using the Globalgood Ecommerce Platform, you acknowledge and agree to the following:
- License Grant: Globalgood Ecommerce grants you a limited, non-exclusive license to use the intellectual property related to the Platform (e.g., Globalgood logo, product images) solely for the purpose of buying or selling on the platform. This license does not transfer ownership of any intellectual property rights.
- Marketing and Promotion: Globalgood Ecommerce may use your IP (e.g., product images, descriptions, and trademarks) for marketing and promotional purposes on the Platform or in its communications, including newsletters, advertisements, and social media.
8. Termination of IP Rights and Violations
If you violate any of the terms outlined in this Intellectual Property Rights Policy, Globalgood Ecommerce reserves the right to:
- Suspend or terminate your vendor account and remove any infringing content.
- Take legal action if necessary, including pursuing damages for any harm caused by IP infringement.
9. Protecting Your Intellectual Property
To protect your intellectual property:
- Register your trademarks, copyrights, and patents with the relevant authorities to ensure legal protection.
- Monitor the platform for any potential IP infringements and notify Globalgood Ecommerce if you believe that your intellectual property has been violated.
- Take legal action as needed to enforce your intellectual property rights.
10. Changes to the Intellectual Property Rights Policy
Globalgood Ecommerce reserves the right to modify or update this Intellectual Property Rights Policy at any time. Any changes will be reflected on this page with the effective date updated accordingly.
